Please read these Terms carefully before using our website www.seeio.co.uk (Site).

These Terms explain how you may use our Site and any of its content. You agree to be bound by

these terms by accessing or using our Site or otherwise indicating your consent.  If you do not

agree with or accept any part of these Terms, you should stop using the Site immediately.

  1. About our Terms

The Site is provided by us to you, free of charge, for information purposes only, primarily for us to

explain our products and services to you. These Terms apply between us and you, the person

accessing or using the Site and apply to any parts of the Site, its functionality and content. You agree that you are solely responsible for all costs and expenses you may incur in relation to your use of our Site.

  1. Permitted territory

This site, its content and any services provided in relation to the same is only targeted to, and intended for use by, individuals located in the United Kingdom (Permitted Territory). By continuing to access, view or make use of this site and any related content and services, you hereby warrant and represent to us that you are located in the Permitted Territory. If you are not located in a Permitted Territory, you must immediately discontinue use of this Website and any related content and services.

We make no promise that the Site is appropriate or available for use in locations outside of the UK. If you choose to access the Site from locations outside the UK, you acknowledge you do so at your own initiative and are responsible for compliance with local laws where they apply.

  1. Subscription orders

If you order any services or digital content from the Site or if you buy a subscription or membership to access parts of the Site, Beta testing or free trial, then our Software Subscription Standard Terms will apply, and can be found on our website.

  1. Data Protection

Your privacy and personal information are important to us. Any personal information that you provide to us as part of registration on this website will be dealt with in line with our Data Protection & Privacy Policy available on our Site, and as set out in our Software Subscription Standard Terms, which explain what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information and how to contact us and supervisory authorities in the event you have a query or complaint about the use of your personal information.

  1. Website password security

Use of the Site may require registration, particularly in order to access restricted areas of the Site. We are not obliged to permit anyone to register with the Site and we may refuse, terminate or suspend registration to anyone at any time.

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You are responsible for making sure that your password and any other account details are kept secure and confidential. You must not disclose to any third party.

If you know, or suspect that anyone other than you knows, your user identification code or password, you must promptly notify us.

If we have reason to believe there is likely to be a breach of security or misuse of the Site through your account or the use of your password etc, we may notify you and require you to change your password or suspend or terminate your account. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

We will use reasonable efforts to:

  • delete accounts that are being used in an inappropriate manner or in breach of these Terms; and
  • identify and remove any content that is inappropriate, defamatory, infringes intellectual property rights or is otherwise in breach of Acceptable Use when we are notified, but we cannot be responsible if you have failed to provide us with the relevant information.

If you believe that any content which is distributed or published by the site is inappropriate, defamatory or infringing on intellectual property rights, you should contact us immediately using the contact details above.

  1. Ownership, use and intellectual property rights

We reserve all our intellectual property rights in our website (including, but not limited to, all copyright, trademarks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind) whether registered or unregistered anywhere in the world. Our works are protected by copyright laws and treaties around the world.

The intellectual property rights in the Site and in any text, images, video, audio or other multimedia content, software or other information or material submitted to or accessible from the Site are owned by us.  All such rights are reserved.

Nothing in these Terms grants you any legal rights in the Site or the content other than as necessary for you to access it. You agree not to adjust, try to circumvent or delete any notices contained on the Site or the content (including any intellectual property notices) and in particular, in any digital rights or other security technology embedded or contained within the Site or the content.

  • You may print off one copy of any page(s) from our site for internal use.
  • You may download extracts from our site for internal use.
  • You may draw the attention of others within your organisation to content posted on our site.
  • You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
  • Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged (except where the content is user-generated).
  • You must not use any part of the content on our site for commercial purposes without obtaining a licence or permission to do so from us.
  • If you print off, copy, download, share or repost any part of our site in breach of these terms of use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

You may not use our trademarks (Board Originator/ SEEIO), logos or trade names except in accordance with these Terms.  Use by you of any of these is strictly prohibited unless you have our prior written permission. Where we give permission to use our trademarks, logos or trade names, you shall do so only in accordance with our brand guidelines, which can be obtained from us.

  1. Web-scraping and data mining

You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our site or any services provided via, or in relation to, our site. We expressly reserve our rights in this regard. This includes using (or permitting, authorising or attempting the use of):

  • Any “robot”, “bot”, “spider”, “scraper” or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the site or any data, content, information or services accessed via the same.
  • Any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations.

While we try to make sure that the Site is secure, we do not actively monitor or check whether information you communicate to us through the website when you Contact Us etc, is confidential, commercially sensitive or valuable.

While we make commercially reasonable efforts to ensure that our Blog is available, we do not promise or warrant in any way the Blog’s continued availability at all times or uninterrupted use by you. We may suspend or terminate the operation of the Blog at any time at our sole discretion.

  1. Acceptable Use

We permit you to use the Site to discover the products and services we can offer you in accordance with this clause (Acceptable Use).  Use of the Site in any other way, including any unacceptable use set out in these Terms, is not permitted.

As a condition of your use of the Site, you will not:

  • misuse or attack our Site by knowingly introducing viruses, trojans, worms, logic bombs or any other material which is malicious or technologically harmful (such as by way of a denial-of-service attack), or
  • attempt to gain unauthorised access to our Site, the server on which our Site is stored or any server, computer or database connected to our Site.
  • attack our site via a denial-of-service attack or a distributed denial-of service attack.

Breaching this provision is a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

  1. Bulletin boards, chat rooms, messaging and other interactive services

We may make bulletin boards, chat rooms, messaging or other communication services (Interactive Services) available on our Site.

We are not obliged to monitor or moderate any text, images, video, audio or other multimedia content, information or material (Submission) submitted in Interactive Services. The information and these materials have not been verified or approved by us. The views expressed by other users on our site do not necessarily represent our views or values.

We may remove or edit any Submission to any of our Interactive Services whether they are moderated or not. Where we do monitor or moderate Submissions we shall indicate how this is performed and who should be contacted in relation to any Submission of concern to you.

By making a Submission, you grant to us a royalty-free, irrevocable, non-exclusive, transferable licence to use, reproduce, modify, publish, edit, translate, distribute, perform and display the Submission (in whole or in part) on the Site, and on any other websites operated by us, indefinitely.

  1. Submission standards

Any Submission you make to our Interactive Services and any other communication to users of our Site by you must conform to standards of accuracy, decency and lawfulness, which shall be applied in our discretion, acting reasonably.

In particular, any Submission or communication by you must be:

  • your own original work and lawfully submitted;
  • your own genuinely held belief;
  • provided with the necessary consent of any third-party;
  • not defamatory or likely to give rise to an allegation of defamation
  • not offensive, obscene, sexually explicit, discriminatory or deceptive; and
  • unlikely to cause offence, embarrassment or annoyance to others.

If you wish to complain about content uploaded by other users, please contact us.

  1. Linking and framing

You may create a link to our Site from another website without our prior written consent – provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

No such link created to our Site is to:

  • suggest any form of association, approval or endorsement on our part where none exists.
  • create a link to any part of our site other than the home page,
  • create a frame or any other browser or border environment around the content of our Site;
  • imply that we endorse your products or services or any of the products or services of, or available through, the website on which you place a link to our Site;
  • display any of the trademarks or logos used on our Site without our permission or that of the owner of such trademarks or logos; or
  • be placed on a website that itself breaches these Terms.

You must not establish a link to our site in any website not owned by you. The website in which you are linking must comply in all respects with the content standards set out in our Acceptable Use terms below.

We reserve the right to require you to immediately remove any non-complying link to our Site at any time, and you shall immediately comply with any request by us to remove any such link. We reserve the right to withdraw linking permission without notice.

  1. Uploading content to our site

Whenever you make use of a feature that allows you to upload content to our site, or to make contact with other users of our site, you must comply with the content standards set out in our Acceptable Use terms below.

You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

Any content you upload to our site will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us and other users of our site a limited licence to use, store and copy that content and to distribute and make it available to third parties.

  • a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that user-generated content in connection with the service provided by the website and across different media including to promote the site or the service to expire forever.
  • a worldwide, non-exclusive, royalty-free, transferable licence for other users, partners or advertisers to use the content in accordance with the functionality of the site, forever.

We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.

We have the right to remove any posting you make on our site if, in our opinion, your post does not comply with the content standards set out in our Acceptable Use terms below.

You are solely responsible for securing and backing up your content.

  1. Limitation of our liability

We only provide our site for business customers (not individual consumers).

We exclude all implied conditions, warranties, representations or other terms that may apply to our site or any content on it.

We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

  • use of, or inability to use, our site; or
  • use of or reliance on any content displayed on our site.

In particular, we will not be liable for:

  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or
  • any indirect or consequential loss or damage.

Except for any legal responsibility that we cannot exclude in law (such as for death or personal injury) or arising under applicable laws relating to the protection of your personal information, we are not legally responsible and have no liability for any losses except as set out below.

  1. Events beyond our control

We are not liable to you if we fail to comply with these Terms because of circumstances beyond our reasonable control, including, but not limited to, strikes, lock-outs or other industrial disputes; breakdown of systems or network access; flood, fire, explosion or accident; epidemics, pandemics or civil unrest or commotion.

  1. Rights of third parties

No one other than a party to these Terms has any right to enforce these Terms.

  1. Variation

No changes to these Terms are valid or have any effect, unless agreed with us in writing.

We reserve the right to vary these Terms from time to time. Our updated Terms will be displayed on the Site and by continuing to use and access the Site following such changes, you agree to be bound by any variation made by us. It is your responsibility to check these Terms from time to time to verify such variations.

  1. Breach

In the event of your breach of these Terms or applicable law, we are entitled at our discretion to:

  • Terminate, prevent or suspend your access to and/or use of our Site,
  • Remove or edit Submissions,
  • Disclose Submissions to law enforcement authorities or
  • Take any legal action we consider necessary.
  1. Disputes and Governing law

If you are unhappy with us, please contact us as soon as possible using the contact details on our website.  We will try to resolve any disputes with you quickly and efficiently.

If a dispute cannot be resolved using our complaint handling procedure or you are unhappy with the outcome, you may want to use alternative dispute resolution (ADR). ADR is a process for resolving disputes that does not involve going to court.

These terms of use, their subject matter and their formation, and any non-contractual disputes or claims, are governed by English law and the exclusive jurisdiction of the courts of England and Wales applies.
